Start in January! 9am-6pm Monday to Friday
o Service SLT meetings and other meetings; draft agendas in accordance with the work programme, prepare meeting packs, draft minutes and follow up matters arising
o Prepare statistics and draft position reports on governance and business assurance matters for SLT, Committee and Board reporting
o Be the lead administrator responsible for the electronic Board meeting and record application
o Maintain and update central filing records.
Risks and Assurance
o Support compliance with GDPR legislation and registration requirements, provide advice on data protection matters, co-ordinate subject access requests to meet the Information Commissioner's deadlines
o Support and be accountable to the Risk and Assurance Business Partner in managing the delivery of Internal Audit programme, maintain up to date strategic and departmental operational risk registers and support annual internal controls process
o Coordinate the quarterly internal audit programme with the timely availability of reports for the Governance structure linking with the Executive, Committee and Board work programme
o Schedule audit and follow up meetings with the appropriate Executive or Leadership team members
o Progress and chase outstanding recommendations in the rolling audit monitoring sheet and prepare reports
o Undertake the draft reporting of Operational Risk, Internal Audit, Internal Control and Fraud and Serious
o Liaise with the Organisation Development team over the timing of the scheduling of corporate, fraud, bribery, data protection and any other colleague governance or business assurance learning and development.
o Maintain all statutory, regulatory and other registers including those for Data Protection, Fraud, Materialise Risk Events and Bribery.
o Co-ordinate responses and liaise with other departments to support or confirm the completion of all statutory and regulatory returns.
o Be the prime contact for processing legal documents for signing and sealing.
o Provide governance advice on matters including declarations of interest, constitution and delegations, seeking advice from others as needed.
o Administer governance processes, specifically the declaration of interest, gifts and hospitality and expenses for Board and Committee members.
o Co-ordinate the Boards' activities and feedback where relevant, including, Board inductions, individual and whole Board appraisals, learning and development programme and other events.
o Liaise with team members to achieve the most efficient support from them in supporting Board activities e.g. setting up Board events report production in a timely fashion.
o Manage and populate the Board members' library, liaise with colleagues to insure the content is up to date and relevant.
Education and qualifications
o Good standard of education
o Evidence of continuing professional development.
Experience, knowledge and behaviours
o Experience of company secretarial administration and risk and audit processes
o Genuine empathy with the purpose of housing associations and care providers and their customers
o Strong verbal, written communication, presentation and interpersonal skills
o High level IT literacy and keen adopter of digital technology and flexible working methods
o Good understanding and operational experience of the responsibilities of this role
o Strong business skills, integrity and personal values
o Good influencing and negotiating skills
o Able to make, and be accountable for, sound, evidence-based judgements
o Able to identify opportunities and solutions to risks
